Overview

Welcome to Davorel Sofas.

The terms “Davorel Sofas”, “we”, “us” and “our” refer to Davorel Sofas. We operate this website and online store, including all related information, content, features, tools, products and services provided to customers collectively as the “Services”.

Our online store is hosted by Shopify, which provides the e-commerce platform that enables us to offer our products and Services to you.

These Terms of Service, together with any policies referenced in them, describe the terms that apply when you:

  • Visit or use our website;

  • Visit our showroom;

  • Request a quotation;

  • Place an order;

  • Purchase or collect a product;

  • Accept delivery of a product; or

  • Otherwise use our Services.

By accessing or using our Services, placing an order or accepting delivery or collection of a product, you agree to be bound by these Terms of Service.

These Terms must be read together with our:

  • Privacy Policy;

  • Shipping and Delivery Policy;

  • Refund Policy; and

  • Warranty Policy.

If you do not agree to these Terms of Service, you should not access or use our Services or place an order with Davorel Sofas.

Nothing in these Terms is intended to limit or exclude any rights or remedies that cannot lawfully be limited or excluded under applicable South African law.

Section 1 – Applicable South African Law

These Terms of Service are governed by the laws of the Republic of South Africa.

Where applicable, our Services and business practices are subject to legislation including:

  • The Consumer Protection Act 68 of 2008;

  • The Electronic Communications and Transactions Act 25 of 2002; and

  • The Protection of Personal Information Act 4 of 2013.

Where any provision of these Terms conflicts with a mandatory provision of applicable South African law, the applicable law will take precedence.

Section 2 – Eligibility and Access

By agreeing to these Terms, you confirm that:

  • You are at least 18 years old;

  • You have the legal capacity to enter into a binding agreement;

  • The information you provide to us is accurate, current and complete; and

  • You are authorised to use the payment method provided for your order.

A person younger than 18 may only use our Services with the involvement and consent of a parent or legal guardian.

You may be asked to provide information including your:

  • Full name;

  • Email address;

  • Telephone number;

  • Billing address;

  • Delivery address;

  • Product preferences;

  • Payment information; and

  • Other information reasonably required to process your order.

You are responsible for maintaining the confidentiality of any account credentials and for all activity conducted through your account.

You may not transfer, sell, assign or license your customer account to another person.

Section 3 – Our Products

Davorel Sofas supplies custom-made sofas and furniture.

Every sofa is manufactured according to the specifications selected or approved by the customer. We do not generally hold completed sofas in stock for immediate dispatch.

Product specifications may include:

  • Sofa design;

  • Dimensions;

  • Fabric selection;

  • Colour;

  • Configuration;

  • Cushioning;

  • Finish; and

  • Other agreed customisation options.

Customers must review and confirm all specifications before production begins.

We make reasonable efforts to present our products accurately. However, customers acknowledge that slight variations may occur in:

  • Colour;

  • Fabric texture;

  • Pattern alignment;

  • Dimensions;

  • Foam firmness;

  • Stitching;

  • Grain;

  • Finish; and

  • General appearance.

Colours displayed on a computer, tablet or mobile device may differ from the physical product due to screen settings, lighting conditions and differences between fabric batches.

Reasonable variations inherent in custom furniture, fabric, foam or handmade production will not automatically constitute a defect.

We reserve the right to:

  • Update product descriptions;

  • Change available fabrics, finishes or materials;

  • Limit the quantity of products offered;

  • Discontinue a product;

  • Correct errors or omissions; and

  • Refuse an order where a requested specification cannot reasonably be manufactured.

Any material change to an already accepted order will be discussed with the customer before proceeding.

Section 4 – Measurements and Customer Specifications

Customers are responsible for ensuring that all measurements, specifications and selections supplied to Davorel Sofas are correct.

Before confirming an order, customers must consider:

  • The dimensions of the selected furniture;

  • The size of the intended room;

  • Doorway widths and heights;

  • Entrance gates;

  • Hallways and passages;

  • Staircases;

  • Lifts or elevators;

  • Corners and turning spaces; and

  • Any other access restrictions.

Davorel Sofas will not be responsible where a product cannot fit through the available access points or into the intended space because:

  • The customer supplied incorrect measurements;

  • The customer failed to measure the relevant area;

  • Access restrictions were not disclosed; or

  • The customer selected an unsuitable product size or configuration.

Custom-made furniture cannot ordinarily be returned or refunded because it does not fit where the customer did not confirm the required measurements and access.

Section 5 – Quotations

A quotation issued by Davorel Sofas is based on the product specifications and information available at the time it is prepared.

Unless otherwise stated on the quotation:

  • A quotation does not constitute acceptance of an order;

  • Product availability and material availability remain subject to confirmation;

  • A quotation may be subject to a validity period;

  • Prices may change after the quotation expires; and

  • Production will not begin until the required payment and final specifications have been received.

Any change requested after a quotation has been issued may result in a revised price, production period or delivery date.

Section 6 – Orders and Acceptance

When you place an order, you are making an offer to purchase the selected products.

An order will only be considered accepted once Davorel Sofas has:

  • Confirmed the order;

  • Confirmed the product specifications;

  • Received the required deposit or full payment; and

  • Confirmed that the selected materials are available.

We reserve the right to accept, decline or cancel an order where reasonably necessary, including where:

  • A product or material is unavailable;

  • Pricing or product information contains an error;

  • Payment cannot be verified;

  • Fraud or unauthorised activity is suspected;

  • The requested product cannot reasonably be manufactured;

  • The delivery address falls outside our delivery area; or

  • The order would breach applicable law.

Where we decline or cancel an order after receiving payment, any amount lawfully due to the customer will be refunded using the original payment method where reasonably possible.

Customers must carefully review all order information before confirming an order.

Section 7 – Custom-Made and Made-to-Order Products

All sofas supplied by Davorel Sofas are custom-made per order.

Production may begin once:

  • The customer has confirmed the order;

  • All specifications have been approved;

  • The required deposit or full payment has been received; and

  • The relevant materials have been confirmed.

Once production has started, changes may not be possible.

Where a requested change can be accommodated, Davorel Sofas may:

  • Charge an additional amount;

  • Issue a revised quotation;

  • Extend the estimated production period; or

  • Require written approval before continuing.

Because our products are custom-made, returns, cancellations, exchanges and refunds are subject to the limitations set out in these Terms and our Refund Policy.

Section 8 – Prices

All prices are displayed or quoted in South African Rand.

Prices may change without notice. The price applicable to an accepted order will generally be the price confirmed in the order confirmation or accepted quotation.

Unless expressly stated otherwise:

  • Delivery fees are charged separately;

  • A Gauteng delivery fee of R1,500 applies;

  • No free-delivery threshold applies;

  • Additional products or changes are charged separately; and

  • Prices are subject to any applicable taxes or charges required by law.

Where a price has been displayed incorrectly because of an obvious error, system problem or omission, we may correct the price before accepting the order.

If an incorrect price is discovered after payment, we will contact the customer to discuss whether the order should continue at the corrected price or be cancelled and refunded.

Section 9 – Payments and Deposits

Full payment or a deposit, where applicable, is required before production begins.

The required payment arrangement will be shown on the quotation, invoice, checkout page or order confirmation.

Customers agree to provide complete and accurate payment and billing information.

By submitting payment information, you confirm that:

  • You are authorised to use the payment method;

  • The information supplied is correct;

  • Sufficient funds are available; and

  • The payment is not fraudulent or unlawful.

Deposits are generally non-refundable because they are used to secure materials, allocate production capacity and cover production-related expenses.

This does not limit any right that a customer may have where Davorel Sofas is legally required to provide a refund.

Any outstanding balance must be paid by the agreed date and before delivery or collection unless otherwise agreed in writing.

Davorel Sofas may withhold delivery or collection until all amounts due have been paid.

Section 10 – Cancellations

Customers may request cancellation within 24 hours after placing an order.

A cancellation request must be submitted in writing by email.

A cancellation will only be effective once confirmed by Davorel Sofas.

Orders cannot ordinarily be cancelled after:

  • The 24-hour cancellation period has expired;

  • Materials have been ordered or allocated;

  • Fabric has been cut;

  • Production has started; or

  • The product has been completed.

Where cancellation is permitted, any refund will be processed in accordance with our Refund Policy and applicable law.

Deposits may remain non-refundable where they have been used to cover materials, administration or production-related costs.

Section 11 – Production Period

The estimated production period for a custom-made order is approximately 20 to 25 working days.

The production period generally starts once:

  • The order has been confirmed;

  • The required deposit or full payment has cleared;

  • The customer has approved the final specifications; and

  • The relevant materials are available.

Working days exclude Saturdays, Sundays and South African public holidays.

Production periods are estimates and are not guaranteed completion dates.

We will make reasonable efforts to complete orders within the estimated period and will communicate material changes to the expected completion date.

Section 12 – Delivery Area

Davorel Sofas currently delivers exclusively within Gauteng, South Africa.

We do not currently offer standard delivery outside Gauteng.

An order with an address outside Gauteng may be declined unless alternative collection or transport arrangements have been agreed to in writing before the order is confirmed.

Section 13 – Delivery Fees

A standard delivery fee of R1,500 applies to deliveries within Gauteng.

The delivery fee may be displayed at checkout, included in a quotation or confirmed before the order is finalised.

Davorel Sofas does not currently offer free delivery.

Delivery fees are generally non-refundable unless:

  • The delivery cannot be completed because of an error by Davorel Sofas;

  • The product is confirmed to be defective or incorrect and applicable law requires the delivery fee to be refunded; or

  • Davorel Sofas agrees otherwise in writing.

Section 14 – Delivery Arrangements

Once the order has been completed, Davorel Sofas will contact the customer to arrange a delivery date.

A requested delivery date is not confirmed until Davorel Sofas has approved it.

Customers must:

  • Provide accurate delivery information;

  • Respond to delivery communications;

  • Ensure that the property is accessible;

  • Disclose any relevant access restrictions; and

  • Ensure that an authorised adult is available to receive the order.

Delivery dates and times are estimates and may be affected by order scheduling and logistics.

Section 15 – Delivery Service Limitations

Standard delivery includes transporting the furniture to the customer’s address and placing it at the entrance of the property on the ground floor.

Standard delivery does not include:

  • Carrying products to an upper floor;

  • Carrying products up or down staircases;

  • Using a lift or elevator;

  • Hoisting furniture through a window or balcony;

  • Removing doors, gates, windows or fixtures;

  • Moving existing furniture;

  • Reorganising the customer’s room;

  • Providing specialist rigging services; or

  • Carrying the product beyond the ground-floor entrance.

Customers are responsible for arranging any specialist labour or services required to move the furniture beyond the standard delivery point.

Davorel Sofas will not be responsible where the product cannot be moved beyond the ground-floor entrance because of the property layout or access conditions.

Section 16 – Missed and Unsuccessful Deliveries

The customer or an authorised adult must be available at the delivery address on the confirmed delivery date.

Where delivery cannot be completed because:

  • Nobody is available to receive the order;

  • An incorrect or incomplete address was supplied;

  • Access to the property is restricted;

  • The furniture cannot fit through the available access points;

  • Relevant access restrictions were not disclosed; or

  • The customer refuses delivery without a lawful reason,

the product may be returned to Davorel Sofas.

Additional delivery charges will apply before another delivery attempt is arranged.

A new delivery date may only be scheduled once the applicable additional charges have been paid.

Section 17 – Customer Collection

Customers may arrange to collect completed orders from the Davorel Sofas showroom at:

Collection is available by prior arrangement only.

Customers must wait for confirmation that their order is ready before arriving for collection.

No delivery fee applies when an order is collected directly from the showroom.

Customers collecting an order are responsible for arranging:

  • A suitably sized vehicle;

  • Appropriate loading assistance;

  • Protective coverings;

  • Straps or securing equipment; and

  • Safe transportation.

The customer must inspect the product before it leaves the showroom.

Davorel Sofas will not be responsible for damage caused after collection through:

  • Improper loading;

  • Inadequate securing;

  • Unsuitable transportation;

  • Exposure to weather;

  • Incorrect handling; or

  • An accident occurring after handover.

Proof of identity, proof of purchase or written authorisation may be required before an order is released.

Section 18 – Inspection on Delivery or Collection

Customers must inspect their furniture when it is delivered or collected.

Any visible damage, incorrect product or other visible concern should be:

  • Reported immediately;

  • Recorded on the delivery or collection documentation; and

  • Photographed or recorded before the delivery team leaves or the product leaves the showroom.

Signing a delivery or collection document without noting visible damage may be considered evidence that the product was received in an apparently acceptable condition.

This does not exclude any rights relating to defects that could not reasonably have been identified during the initial inspection.

Section 19 – Reporting Damaged or Incorrect Products

A customer who receives a visibly damaged or incorrect product must notify Davorel Sofas within five days of delivery or collection.

The customer must provide:

  • Proof of purchase;

  • The order number;

  • A description of the concern;

  • Clear photographs or videos; and

  • A copy or photograph of the delivery or collection document, where available.

Reporting an issue does not automatically entitle the customer to a refund or replacement.

Davorel Sofas may inspect or assess the product before determining the appropriate remedy.

Depending on the nature of the issue and the customer’s rights under applicable law, Davorel Sofas may:

  • Repair the product;

  • Replace the affected component;

  • Replace the product;

  • Offer a partial refund; or

  • Offer a full refund where appropriate.

Section 20 – Manufacturing Defects

A manufacturing defect that is visible or reasonably identifiable at delivery should be reported within 14 days of delivery or collection.

Latent defects or defects arising later remain subject to the applicable warranty period and applicable South African law.

A manufacturing-defect report must include:

  • Proof of purchase;

  • A description of the defect;

  • Clear photographs or videos; and

  • Any additional information reasonably requested for assessment.

The product may need to be inspected before a claim is approved.

Damage caused after delivery or collection will not be treated as a manufacturing defect.

Section 21 – Returns and Refunds

Most Davorel Sofas products are custom-made according to customer specifications.

Custom-made products cannot ordinarily be returned, exchanged or refunded merely because:

  • The customer changes their mind;

  • The customer no longer likes the selected colour or fabric;

  • The product does not fit because of incorrect measurements;

  • The customer’s décor or preferences change;

  • The customer considers the cushioning too firm or too soft as a matter of personal preference; or

  • The product contains reasonable variations inherent in custom furniture or fabric.

Returns and refunds may be considered where:

  • The incorrect product was supplied;

  • The product was damaged before or during delivery;

  • The product contains a qualifying defect;

  • The product does not materially correspond with the confirmed order; or

  • Applicable law requires another remedy.

All returns, repairs, replacements and refunds are subject to assessment and our Refund Policy.

Where a refund is approved:

  • Processing may take up to 10 working days;

  • The refund will generally be made through the original payment method; and

  • The processing time of the relevant bank or payment provider may also apply.

Section 22 – Warranty

Davorel Sofas provides a limited warranty against qualifying manufacturing defects in materials and workmanship.

The applicable warranty periods are:

  • Frame and structure: five years;

  • Foam and cushioning: two years; and

  • Stitching and workmanship: two years.

The warranty begins on the delivery or collection date and applies only to the original purchaser.

The warranty is not transferable.

To submit a warranty claim, the customer must:

  • Contact Davorel Sofas within the applicable warranty period;

  • Provide proof of purchase;

  • Describe the issue; and

  • Submit clear photographs or videos.

Davorel Sofas may inspect the furniture before approving a claim.

Where a valid warranty claim is approved, Davorel Sofas may, depending on the circumstances:

  • Repair the product;

  • Replace a defective component;

  • Replace the product;

  • Provide a partial refund; or

  • Provide a full refund where appropriate.

The remedy will depend on the nature and extent of the defect and any applicable legal requirements.

Section 23 – Warranty Exclusions

The warranty does not cover:

  • Normal wear and tear;

  • Fabric fading;

  • Stains, spills or liquid damage;

  • Damage caused by pets;

  • Accidental damage;

  • Cuts, burns, tears or punctures;

  • Misuse or abuse;

  • Excessive weight or impact;

  • Improper cleaning products or methods;

  • Failure to follow care instructions;

  • Unauthorised repairs or alterations;

  • Damage caused during customer-arranged transportation;

  • Exposure to excessive sunlight, moisture or unsuitable environmental conditions;

  • Changes in foam firmness resulting from ordinary use;

  • Pilling or fabric characteristics that fall within reasonable manufacturing tolerances; or

  • Changes in personal comfort preference.

The warranty does not replace or reduce any mandatory rights available to a customer under applicable South African law.

Customers may be responsible for transport or collection costs where an inspection confirms that the issue is not a manufacturing defect.

Where an issue is confirmed as a manufacturing defect, Davorel Sofas will determine the appropriate transport arrangements and costs in accordance with applicable law and the circumstances of the claim.

Section 24 – Care and Maintenance

Customers are responsible for caring for and maintaining their furniture appropriately.

Customers should:

  • Follow any care instructions supplied;

  • Use cleaning products suitable for the relevant fabric or material;

  • Avoid excessive exposure to direct sunlight;

  • Address spills promptly;

  • Avoid placing sharp objects on the furniture;

  • Prevent excessive jumping, impact or overloading; and

  • Arrange professional cleaning where appropriate.

Damage caused by improper care or maintenance may not be covered by the warranty.

Section 25 – Risk and Ownership

Ownership of a product will remain with Davorel Sofas until the full purchase price and all other amounts due have been paid.

For delivered orders, risk will generally pass to the customer once:

  • The product has been delivered to the agreed ground-floor entrance;

  • The customer or authorised representative has accepted the product; and

  • The delivery has been recorded as completed.

For collected orders, risk will generally pass to the customer once the product has been inspected, accepted and handed over at the showroom.

Nothing in this section limits liability for damage caused by Davorel Sofas before handover or any rights that cannot lawfully be excluded.

Section 26 – Changes to Orders

Any request to change an accepted order must be submitted in writing.

Davorel Sofas is not required to accept a requested change after the order has entered production.

Where a change is accepted, it may result in:

  • Additional charges;

  • A revised production period;

  • A revised delivery date;

  • A revised quotation; or

  • The customer being required to approve the amended specifications.

The requested change will not be effective until confirmed in writing by Davorel Sofas.

Section 27 – Website Information

We make reasonable efforts to ensure that information on our website is accurate.

However, the website may occasionally contain:

  • Typographical errors;

  • Incorrect product descriptions;

  • Pricing errors;

  • Outdated availability information;

  • Incorrect delivery information; or

  • Other omissions.

We reserve the right to correct errors, update information or cancel an affected order where reasonably necessary.

Where an error materially affects an accepted order, we will contact the customer and explain the available options.

Section 28 – Intellectual Property

All content made available through the Davorel Sofas website or Services, including:

  • Business names;

  • Logos;

  • Product names;

  • Photographs;

  • Videos;

  • Graphics;

  • Designs;

  • Text;

  • Website layouts;

  • Product descriptions; and

  • Marketing material,

is owned by or licensed to Davorel Sofas and is protected by applicable intellectual property law.

You may use the website for personal, lawful and non-commercial purposes only.

Without our prior written permission, you may not:

  • Copy;

  • Reproduce;

  • Republish;

  • Modify;

  • Distribute;

  • Sell;

  • Commercially exploit;

  • Scrape;

  • Download in bulk;

  • Create derivative works from; or

  • Publicly display

our website content or intellectual property.

The Davorel Sofas name, logo and related branding may not be used in a manner that falsely suggests an association, endorsement or partnership.

Shopify’s trademarks and intellectual property remain the property of Shopify or its licensors.

Section 29 – Optional and Third-Party Tools

The Services may provide access to tools, payment gateways, applications or functionality operated by third parties.

We do not control all third-party tools and do not guarantee that they will always be:

  • Available;

  • Secure;

  • Error-free;

  • Suitable for a particular purpose; or

  • Compatible with every device.

Your use of third-party tools may be subject to the provider’s own terms and privacy policies.

Davorel Sofas will not be responsible for loss arising solely from a third-party tool where the loss was outside our reasonable control, except to the extent that liability cannot lawfully be excluded.

Section 30 – Third-Party Links

Our website may contain links to websites or services operated by third parties.

These links are provided for convenience and do not necessarily constitute an endorsement.

We are not responsible for:

  • Third-party website content;

  • Third-party privacy practices;

  • Products or services purchased from third parties;

  • The accuracy of third-party information; or

  • Loss caused through the use of a third-party website.

Customers should review the applicable terms and policies before transacting with a third party.

Section 31 – Relationship with Shopify

Davorel Sofas uses Shopify to host and operate its online store.

All purchases made from the Davorel Sofas store are transactions directly between the customer and Davorel Sofas.

Shopify is not the seller of Davorel Sofas products and is not responsible for:

  • Manufacturing our products;

  • Accepting or fulfilling orders;

  • Delivering our products;

  • Handling product complaints;

  • Providing our product warranties; or

  • Resolving disputes between Davorel Sofas and a customer.

Nothing in this section limits any responsibility Shopify may independently have under its own services, policies or applicable law.

Section 32 – Privacy and Personal Information

Personal information collected through our Services will be handled in accordance with our Privacy Policy and applicable South African data-protection law.

We may collect and use personal information for purposes including:

  • Processing orders;

  • Processing payments;

  • Manufacturing products;

  • Arranging delivery or collection;

  • Communicating with customers;

  • Responding to enquiries;

  • Managing warranty or refund claims;

  • Improving our website and Services; and

  • Sending marketing communication where the customer has consented.

Because our store is hosted by Shopify, certain information may be processed by Shopify and other service providers involved in providing the Services.

Please review our Privacy Policy for more information about the collection, use, storage and disclosure of personal information.

Section 33 – Reviews and Feedback

Where you submit a review, photograph, comment, suggestion or other feedback to Davorel Sofas, you confirm that:

  • You have the right to submit it;

  • It is accurate to the best of your knowledge;

  • It does not unlawfully infringe another person’s rights;

  • It is not defamatory or misleading;

  • It does not contain unlawful or harmful material; and

  • Any incentive or compensation relating to the review has been disclosed.

You grant Davorel Sofas permission to use, reproduce, publish and display voluntarily submitted feedback for business and marketing purposes, subject to applicable privacy and consumer law.

We may remove content that is unlawful, abusive, fraudulent, misleading or infringes another person’s rights.

We are not required to publish or respond to every review or submission.

Section 34 – Prohibited Uses

You may only use the Services for lawful purposes.

You may not use the Services to:

  • Commit or promote unlawful activity;

  • Submit fraudulent orders or payment information;

  • Infringe intellectual property rights;

  • Harass, threaten, abuse or defame another person;

  • Distribute viruses or malicious software;

  • Interfere with the security or operation of the website;

  • Collect personal information unlawfully;

  • Send spam or unauthorised promotional communication;

  • Impersonate another person or business;

  • Circumvent access or security controls;

  • Scrape or extract website content without permission;

  • Place orders for unlawful resale or fraudulent purposes; or

  • Use automated systems in a way that damages, overloads or disrupts the Services.

We may restrict or terminate access where we reasonably believe these Terms have been breached.

Section 35 – Automated Systems and Agents

Any automated system, software tool or artificial-intelligence agent that accesses our Services must:

  • Identify itself accurately where technically possible;

  • Comply with applicable law;

  • Respect website security and access restrictions;

  • Not circumvent CAPTCHAs or similar controls;

  • Not conceal automated activity;

  • Not place fraudulent or unauthorised orders; and

  • Not collect or use information unlawfully.

We may limit or block automated access where necessary to protect our Services, customers or systems.

Section 36 – Availability of the Services

We do not guarantee that the website or online store will always be uninterrupted, secure or free from technical errors.

We may temporarily suspend access for:

  • Maintenance;

  • Security updates;

  • Technical problems;

  • Service-provider interruptions;

  • System improvements; or

  • Events outside our reasonable control.

Where possible, we will take reasonable steps to restore the Services.

Section 37 – Disclaimer of Warranties

Website content is provided for general information and shopping purposes.

Except for warranties expressly provided by Davorel Sofas or imposed by applicable law, we do not guarantee that:

  • The website will always be available;

  • Every website error will be corrected immediately;

  • Product images will display identically on every screen; or

  • General website information will meet every customer’s individual requirements.

Products remain subject to the express warranty terms stated in these Terms and our Warranty Policy, together with any statutory rights available under South African law.

Nothing in these Terms excludes an implied warranty or consumer right that cannot lawfully be excluded.

Section 38 – Limitation of Liability

To the fullest extent permitted by law, Davorel Sofas will not be liable for indirect, incidental, special or consequential loss arising from the use of our website or products where such loss:

  • Was not reasonably foreseeable;

  • Was caused by the customer’s misuse;

  • Resulted from incorrect measurements or information supplied by the customer;

  • Resulted from a failure to follow care instructions;

  • Was caused by unauthorised alteration or repair;

  • Occurred after customer collection because of unsuitable transportation; or

  • Was caused by events outside our reasonable control.

Nothing in these Terms excludes or limits liability for:

  • Fraud;

  • Gross negligence;

  • Deliberate misconduct;

  • Death or personal injury where liability cannot lawfully be excluded;

  • A statutory consumer right; or

  • Any other liability that cannot lawfully be limited.

Where liability may lawfully be limited, our liability will be determined with reference to the nature of the claim, the loss suffered, applicable law and the remedies reasonably available.

Section 39 – Customer Responsibility and Indemnity

You are responsible for loss or damage caused by your:

  • Unlawful use of the Services;

  • Fraudulent conduct;

  • Breach of these Terms;

  • Infringement of a third party’s rights; or

  • Submission of unlawful content.

To the extent permitted by law, you agree to compensate Davorel Sofas for reasonable losses, liabilities and costs arising directly from such conduct.

This section does not require a consumer to indemnify Davorel Sofas against our own negligence, misconduct or breach of applicable law.

Section 40 – Events Outside Our Reasonable Control

Davorel Sofas will not be responsible for failure or delay caused by circumstances outside our reasonable control.

Such circumstances may include:

  • Natural disasters;

  • Fire;

  • Flooding;

  • Civil unrest;

  • Industrial action;

  • Government restrictions;

  • Transport disruptions;

  • Widespread utility interruptions;

  • Supplier failure;

  • Material shortages; or

  • Serious technical outages.

Where an event outside our reasonable control affects an order, we will communicate with the customer and take reasonable steps to minimise the impact.

Section 41 – Termination

We may suspend or terminate access to the Services where:

  • These Terms have been materially breached;

  • Fraudulent or unlawful activity is suspected;

  • The security of the Services is threatened; or

  • Continued access may cause harm to Davorel Sofas, Shopify, another customer or a third party.

Termination will not affect:

  • Amounts already due;

  • Rights and obligations arising before termination;

  • Existing accepted orders, unless lawfully cancelled; or

  • Provisions intended to continue after termination.

Section 42 – Severability

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed where necessary.

The remaining provisions will continue to apply.

Section 43 – No Waiver

A failure or delay by Davorel Sofas to exercise a right under these Terms does not mean that the right has been waived.

A waiver will only be valid where it is provided in writing by an authorised representative of Davorel Sofas.

Section 44 – Entire Agreement

These Terms, together with the policies and documents incorporated by reference, form the agreement between the customer and Davorel Sofas concerning the use of the Services and the purchase of our products.

They replace previous representations or communications relating to the same subject, except where specific written terms have been included in an accepted quotation or order confirmation.

Where an accepted quotation contains product-specific terms that differ from these general Terms, the product-specific terms will apply to that order to the extent of the inconsistency, subject to applicable law.

Section 45 – Assignment

Customers may not transfer their rights or obligations under these Terms without the prior written consent of Davorel Sofas.

Davorel Sofas may transfer its rights or obligations as part of a lawful sale, restructuring or transfer of the business, subject to applicable law and the protection of customer rights.

Section 46 – Governing Law and Jurisdiction

These Terms and any agreement arising from the use of the Services are governed by the laws of the Republic of South Africa.

Subject to any consumer’s right to approach an appropriate consumer body, regulator, ombud, tribunal or court, disputes will fall within the jurisdiction of the appropriate South African courts.

Where legally permissible, the parties consent to the jurisdiction of the courts located in Gauteng, South Africa.

Section 47 – Dispute Resolution

Customers should first contact Davorel Sofas directly to allow us a reasonable opportunity to investigate and resolve a complaint.

When submitting a complaint, customers should provide:

  • Their full name;

  • Contact details;

  • Order number;

  • Proof of purchase;

  • A description of the issue; and

  • Supporting photographs, videos or documents.

Nothing in this section prevents a customer from exercising any right to approach an appropriate regulatory body, consumer authority, ombud, tribunal or court.

Section 48 – Changes to These Terms

We may update these Terms from time to time to reflect:

  • Changes to our Services;

  • Changes to our business practices;

  • Changes to applicable law;

  • New products or functionality; or

  • Operational or security requirements.

The current version will be published on our website with the applicable update date.

Changes will apply from the stated effective date and will not ordinarily change the terms of an already accepted order unless:

  • The customer agrees;

  • The change benefits the customer; or

  • The change is required by law.

Continued use of the Services after the effective date of updated Terms constitutes acceptance of the revised Terms.
